Notice to the customers of the bank that hold securities

Dear customers,

Since 01.06.2012 UniCredit Bulbank AD (UCB) has introduced a new fee for maintenance of an account for book entry securities. Each one of you, who wishes to deposit book entry securities for safekeeping with UniCredit Bulbank AD, needs to sign an Agreement for maintenance of a securities account. In case the service for maintenance of an account for book entry securities with UCB does not represent any interest for you and respectively you do not wish to sign an Agreement for maintenance of a securities account within the provided term– 20.08.2012, you will have to order a transfer of your book entry securities from UCB to an investment intermediary/bank of your choice, where you have decided to deposit your own book entry securities for safekeeping for the future.

In accordance with the possibility provided under the Law, the bank reserves its right to transfer the customer assets – securities in CDAD’s register, where the bank shall have no responsibility for the safekeeping of the securities in case you have not stated before the bank your will to continue keeping (maintain the account) book entry securities with UniCredit Bulbank AD by signing the Agreement.

If you wish to transfer your securities to another investment intermediary/bank, you need to sign and submit to UCB a request for transfer and pay the due fee for this, according to the bank’s Tariff.

The fee for maintenance of a securities account and the need for signing an Agreement with the bank do not refer to customers – professional investors, who meet the requirements for such classification, provided below. In case you meet the requirements for a professional investor you need to request from the bank to be classified as such and to receive confirmation from the bank about you classification as a professional investor.

The fee for maintenance of securities, written down in the Tariff, is on an annual basis, while the payment liability will be calculated and collected on a monthly basis on the grounds of the market value of the book entry securities, which are kept with UniCredit Bulbank AD, calculated as of the last day of the month.

CRITERIA:

Criteria, which legal entities shall meet in order to be classified as professional customers, as follows: they need to meet at least two of the following three listed criteria:

a) balance sheet total – the BGN equivalent of at least EUR 20,000,000;

b) net turnover – the BGN equivalent of at least EUR 40,000,000;

c) own funds – the BGN equivalent of at least EUR 2,000,000.

Criteria, which individuals shall meet in order to be classified as professional customers, as follows: they need to meet at least two of the following three listed criteria:

а) over the last year the individual needs to have concluded 10 transactions on the average per quarter with a significant volume in a certain market;

b) the value of the investment portfolio of the individual, including financial instruments and cash deposits, exceeds the BGN equivalent of EUR 500 000;

c) the individual is working or has worked in the financial sector for at least one year in a position, which requires knowledge about the respective transactions or services.
